The CVS pharmacy chain fills more prescriptions at more drugstores than any other drugstore operator. With about 7,000 drugstores under the CVS and Longs Drug banners, the company is the nation's largest pharmacy chain (ahead of archrival Walgreen) as a result of a string of acquisitions that included the Eckerd chain, stores from Albertsons, and most recently Longs Drug Stores (2008). In 2007 CVS purchased prescription benefits management (PBM) firm Caremark Rx for about $26.5 billion. Caremark was combined with CVS's PBM and specialty pharmacy unit PharmaCare Management Services to form Caremark Pharmacy Services.

CVS Caremark (NYSE: CVS) announced today that it will stop selling cigarettes and other tobacco products at its more than 7,600 CVS/pharmacy stores across the U.S. by October 1, 2014, making CVS/pharmacy the first national pharmacy chain to take this step in support of the health and well-being of its patients and customers. "Ending the sale of cigarettes and tobacco products at CVS/pharmacy is the right thing for us to do for our customers and our company to help people on their path to better health," said Larry J. Merlo, President and CEO, CVS Caremark. "Put simply, the sale of tobacco products is inconsistent with our purpose." Merlo continued, "As the delivery of health care evolves with an emphasis on better health outcomes, reducing chronic disease and controlling costs, CVS Caremark is playing an expanded role in providing care through our pharmacists and nurse practitioners. The significant action we're taking today by removing tobacco products from our retail shelves further distinguishes us in how we are serving our patients, clients and health care providers and better positions us for continued growth in the evolving health care marketplace." Smoking is the leading cause of premature disease and death in the United States with more than 480,000 deaths annually. While the prevalence of cigarette smoking has decreased from approximately 42 percent of adults in 1965 to 18 percent today, the rate of reduction in smoking prevalence has stalled in the past decade. More interventions, such as reducing the availability of cigarettes, are needed. "CVS Caremark is continually looking for ways to promote health and reduce the burden of disease," said CVS Caremark Chief Medical Officer Troyen A. Brennan, M.D., M.P.H. "Stopping the sale of cigarettes and tobacco will make a significant difference in reducing the chronic illnesses associated with tobacco use." In a Journal of the American Medical Association (JAMA) Viewpoint published online this morning, Brennan and co-author Steven A. Schroeder, Director, Smoking Cessation Leadership Center, University of California, San Francisco, wrote, "The paradox of cigarette sales in pharmacies has become even more relevant recently, in large part because of changes in the pharmacy industry...Most pharmacy chains are retooling themselves as an integral part of the health care system. They are offering more counseling by pharmacists, an array of wellness products and outreach to clinicians and health care centers....Perhaps more important, pharmacies are moving into the treatment arena, with the advent of retail health clinics. These retail clinics, originally designed to address common acute infections, are gearing up to work with primary care clinicians to assist in treating hypertension, hyperlipidemia and diabetes -- all conditions exacerbated by smoking." CVS Caremark's decision to stop selling tobacco products is consistent with the positions taken by the American Medical Association, American Heart Association, American Cancer Society, American Lung Association and American Pharmacists Association that have all publicly opposed tobacco sales in retail outlets with pharmacies. "As a leader of the health care community focused on improving health outcomes, we are pledging to help millions of Americans quit smoking," said Merlo. "In addition to removing cigarettes and tobacco products for sale, we will undertake a robust national smoking cessation program." The program, to be launched this Spring, is expected to include information and treatment on smoking cessation at CVS/pharmacy and MinuteClinic along with online resources. The program will be available broadly across all CVS/pharmacy and MinuteClinic locations and will offer additional comprehensive programs for CVS Caremark pharmacy benefit management plan members to help them to quit smoking. Approximately seven in ten smokers say they want to quit and about half attempt to quit each year. "Every day, all across the country, customers and patients place their trust in our 26,000 pharmacists and nurse practitioners to serve their health care needs," commented Helena B. Foulkes, President, CVS/pharmacy. "Removing tobacco products from our stores is an important step in helping Americans to quit smoking and get healthy."

CVS Caremark Corp. (NYSE:CVS) and Walgreen Co. (NYSE:WAG) officials announced Friday morning that an agreement on terms has been reached between the two companies, under which Walgreens will continue its participation in CVS Caremark's pharmacy benefit management (PBM) national retail network. Financial details of the new contract have not been disclosed, and the terms are effective for existing, new or renewals of PBM plans. "We are very pleased with the outcome of this mutual, multi-year agreement that meets our business objectives," commented Walgreen executive vice president of pharmacy, Kermit Crawford. "The agreement makes good business sense, provides the framework we need to operate our business going forward, and assures choice and convenience for the many consumers who look to us for quality pharmacy care. The agreement is good for our patients, pharmacists and shareholders, and will allow us to continue to meet the needs of our customers across the country through the CVS Caremark network." CVS Caremark's national pharmacy network will reportedly grow to over 64,000 participating pharmacies with the continued participation of Walgreen. "We are pleased to have reached a mutually agreeable solution together with Walgreens that is consistent with our top priority to provide convenient access to affordable high-quality pharmacy health care," said president of CVS Caremark's pharmacy benefit management business, Per Lofberg. "This new contract enables Walgreen to continue participating in CVS Caremark's PBM national pharmacy network, provides enhanced network stability, eliminates any current or long-term disruption for our clients or their members and allows us to continue to fulfill our obligation to deliver cost-effective pharmacy benefits for our clients." Shares of CVS closed Thursday's trading day at $31.84, and shares of Walgreen closed at $29.27.

For 58 years, Hart Pharmacy has been the neighborhood pharmacy on a Glenway Avenue corner. But as they continue filling prescriptions for loyal customers, the reimbursement for meds is dwindling. "As these PBMs, as they're called, get bigger and bigger and manage more and more plans, we're seeing lower and lower reimbursements," pharmacist Sarah Priestle said. PBMs are pharmacy benefits managers. They're middlemen like Express Scripts and CVS Caremark that handle prescription coverage. But the lower reimbursement rates are taking a toll, according to Priestle. "It's hard to keep those medications on the shelf," she said. "It's hard, you know, so when they come in I might not have it. I can't afford to stock that drug anymore." Right now, it could actually be cheaper to pay for drugs out of pocket, versus using insurance. But pharmacies can't tell you that. Some lawmakers in Ohio are looking to change that. House Bill 479 is currently pending in Columbus. It would require pharmacists to tell patients about lower drug prices. Ohio is also looking at how CVS Caremark reimburses pharmacists and charges Medicaid. Auditor David Yost issued a statement saying, "When 40 cents of every dollar goes to Medicaid, transparency will create better policy and better decisions."

6/7/2010- Walgreen (NYSE:WAG) said that it will no longer be a provider in new or renewed prescription drug plans awarded to CVS Caremark's (NYSE:CVS) pharmacy benefit manager. The company said that CVS Caremark's promotion of some plan designs upsets networks by requiring patients to use the company's services. Walgreen also said that CVS Caremark's fluctuating reimbursement rates also factors in to the ending of the relationship between the two companies. "Walgreens participates in hundreds of pharmacy benefit networks, which serve an important function in the marketplace by providing comprehensive access to prescription services for patients in prescription drug plans across the country," said Walgreens President and CEO Greg Wasson. "Unfortunately, as a result of CVS Caremark's pharmacy benefit management practices toward Walgreens, it no longer makes good business sense for Walgreens to be part of their network for new and renewed plans. We will continue to participate in current CVS Caremark plans to provide continuity of care and service to our pharmacy patients."

Gilead Sciences hepatitis C drugs, Sovaldi and Harvoni, will get exclusive coverage on several plans from CVS/Caremark, the pharmacy benefits manager reported, taking the opposite stance from competitor Express Scripts. CVS and Gilead didn't immediately release more details on the agreement, including whether Gilead offered a discount to the list price of its drugs. Generally Sovaldi costs $84,000 for 12 weeks of treatment, where Harvoni, a combination of Sovaldi and another therapy, which was approved in October; costs $94,500 for 12 weeks of treatment, although some patients are cured in just eight weeks. Express Scripts said it negotiated a "significant discount" with AbbVie on its Viekira Pak, approved in late December. Analysts have questioned Express Scripts' decision to approve Viekira Pak, because AbbVie's regimen consists of several pills taken each day, while Harvoni is just one daily pill.

Officials from CVS Caremark Corp. (NYSE:CVS) said Friday that the firm has entered into an agreement with Universal American Corp. (NYSE:UAM) to acquire its Medicare Part D business, reports PR Newswire. CVS is hoping to double its 1.2 million-member Medicare Part D program through the acquisition; Universal American's Medicare Part D business has approximately 1.9 million Medicare PDP members. CVS Caremark's president of Pharmacy Services, Per Lofberg, commented, "Today's transaction furthers CVS Caremark's position as a significant player in one of the nation's fastest growing segments of the Pharmacy Benefit Management industry. A growing portion of the country's population will receive their prescription drug coverage under Medicare plans, driven both by age demographics and the anticipated shift of retirees from employer based coverage to Medicare that will likely result from health care reform. The Medicare Part D program is integral to CVS Caremark's long-term growth strategy. We believe that bringing together these two businesses will strengthen our competitive offerings, enabling us to provide Medicare beneficiaries with expanded products and services and lower the cost of pharmacy care." The deal is slated to close during the end of Q2. On July 29, 2010, CVS Caremark was downgraded to Neutral from Buy at BofA/Merrill. The company has reported $97.5 billion in sales over the past 12 months and is expected to report $106.5 billion in sales in the next fiscal year. CVS Caremark has a potential upside of 11% based on a current price of $35.00, and an average consensus analyst price target of $38.84.

"We need an all-hands-on-deck effort to take tobacco products out of the hands of America's young generation, and to help those who are addicted to quit," Health and Human Services Secretary Kathleen Sebelius said in a statement. "Today's CVS Caremark announcement helps bring our country closer to achieving a tobacco-free generation. I hope others will follow their lead." It remained unclear whether other pharmacies will follow CVS' lead. "We have been evaluating this product category for some time to balance the choices our customers expect from us with their ongoing health needs," Walgreens spokesman Jim Graham said in a statement. "We will continue to evaluate the choice of products our customers want, while also helping to educate them and providing smoking-cessation products and alternatives that help to reduce the demand for tobacco products." CVS Caremark estimates it will take an annual loss of $2 billion from tobacco shoppers -- $1.5 billion in tobacco sales and the rest from other products tobacco shoppers purchase while in the store. The company has enjoyed growing revenues in recent years, boosted by its pharmacy services business and prescription drug sales. CVS Caremark hasn't reported its year-end results yet, but it took in nearly $94 billion in revenues in the first nine months of 2013, up slightly from the same period in 2012, according to its most recent earnings report. In 2012, CVS Caremark reported $123.1 billion in revenues, a 15% jump from $107.1 billion the previous year. "We commend CVS for putting public health ahead of their bottom line and recognizing the need for pharmacies to focus on supporting health and wellness instead of contributing to disease and death caused by tobacco use," the American Medical Association said. Asked Wednesday about the reaction of tobacco executives to the decision, CVS Caremark's Merlo said they were "disappointed. At the same time, I think they understand the paradox that we face as an organization, and they understand the rationale for the decision." Analysts Mark Wiltamuth, Ricky Goldwasser, Joseph Parkhill and Justin Van Vleck said, "Our prior thesis that CVS would rebuild investor confidence by showing net wins for the 2011 PBM selling season is now less likely as this dispute could disrupt current contract negotiations while also creating new marketing challenges for future years. While we still view the implied PBM valuation as depressed, this new dispute makes valuation recovery more difficult." The bank sees fiscal 2010 EPS of $2.44, vs. consensus estimates of $2.80 per share, and fiscal 2011 EPS of $2.68, vs. consensus estimates of $3.11 per share.

CVS recently announced plans to rid cigarettes and all other tobacco products from their shelves. The company says that the decision wasn't about profits but instead it centers on their customers' general well being. For smokers, it was certainly convenient to grab a pack of smokes from CVS while simultaneously getting some shopping done. The chain recently announced plans to rid cigarettes and all other tobacco products from their shelves. Here's what the CVS Caremark's President and CEO Larry J. Merlo had to say: "Ending the sale of cigarettes and tobacco products at CVS/pharmacy is the right thing for us to do for our customers and our company to help people on their path to better health. Put simply, the sale of tobacco products is inconsistent with our purpose." By October 1st of 2014, the company plans to be entirely tobacco free when it comes to the products it will sell. The move has made CVS the very first pharmacy chain in the country to remove tobacco products from its stores. This Spring, the company plans to launch a program for smokers to help them kick the habit. Although CVS will lose an estimated $2 billion annually from the soon-to-be empty tobacco displays, numerous health organizations have applauded the decision and hope other national retailers follow suit.

CVS Health Corp. said Thursday it is acquiring Omnicare Inc. for $98 per share in cash, for a total enterprise value of approximately $12.7 billion. That includes about $2.3 billion in debt. Cincinnati-headquartered Omnicare, which has about 13,000 employees at 160 locations in 47 states, provides pharmacy services to long-term care facilities. Woonsocket, R.I.-based CVS said the deal will expand its ability to dispense prescriptions in assisted living and long-term care facilities, serving the senior patient population. The transaction will also enable CVS to broaden its presence in the specialty pharmacy business. CVS said it has secured $13 billion in fully committed unsecured bridge financing from Barclays and expects to put in place permanent financing in the form of senior notes and/or term loans prior to the deal's close. The transaction is expected to close near the end of the year. In a statement, CVS Health president and CEO Larry Merlo said the acquisition 'significantly expands our business, providing CVS Health access into a new pharmacy dispensing channel.' Merlo added that the deal 'creates new opportunities for us to extend our high-quality, innovative pharmacy programs to a broader population of seniors and chronic care patients as they transition across the care continuum.' CVS expects the purchase to be approximately 20 cents accretive to adjusted earnings per share in 2016. CVS shares closed at $103.69 on Thursday, up 2.39%.
